1.1.YOU SHOULD CAREFULLY READ THE FOLLOWING TERMS OF SERVICE IF YOU DO NOT AGREE WITH ALL OF THE TERMS OF THIS AGREEMENT, YOU MUST NOT USE ANY SERVICE SPRING PROVIDES. YOU WILL NOT BE ELIGIBLE FOR A REFUND.
1.2.PLEASE NOTE THAT THE SECTION BELOW TITLED “GOVERNING LAW AND DISPUTE RESOLUTION” CONTAINS A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER. THEY AFFECT YOUR LEGAL RIGHTS. PLEASE READ THEM.
1.3.If you do not agree to these Terms of Service or any changes or updates, your only remedy is not to use the applicable site and to immediately cease using any accounts or Services you have signed up for. Your continued use of the SPRING Games Services after a change or update has been made to the Terms of Service will constitute your acceptance of such change or update. If you violate our Terms of Service, we may issue you a warning about the violation, or we may choose to immediately terminate or suspend any and all accounts that you have established.
1.4.You acknowledge that SPRING/Ludo Talent is not required to provide you notice before terminating or suspending your Services, but it may choose to do so. SPRING reserves the right to deny, in its sole discretion, any user access to the Game Services without notice for any or no reason (including, without limitation, for violation of these Terms of Service).
1.5.You represent, warrant and covenant that (i) you will comply with all applicable laws, regulations and orders of any governmental authority in your use of this Site and Ludo Talent materials (including, without limitation, all export control laws, regulations, and orders) and (ii) you will not upload or otherwise transmit to this Site or Ludo Talent any software or other materials that: (a) contain any viruses or other harmful code; (b) violate, misappropriate or infringe any patent, copyright, trademark, trade name, trade dress, trade secret, right of publicity, right of privacy, moral right, right of attribution or integrity or any other intellectual property right or proprietary right (collectively, “Proprietary Rights”) of any person or entity; or (c) contain any material that is libelous, defamatory or portrays any person in a false light.
2.1The Game Services are not intended for children. Children must not use the Game Services for any purpose. If you are under the age of 13, please read this Agreement in company with your legal guardian. By children, we mean users under the age of 13 years old; or in the case of users located in a country listed in the table below, the relevant age listed for that country.

*Users located in this country and who are under the minimum age are required to obtain parental/guardian consent prior to the playing of the Game.
**In the case of users located in the European Economic Area and Switzerland, persons under the age of 16 may use the Game Services if parental/guardian consent is obtained prior to using the Game Services.
***In the case of users located in the United Arab Emirates, the minimum age to be able to legally agree to commercial transactions is 21 (under the Hijri calendar). However, a minor, who is between the ages of 18 and 21 may obtain a court order giving him/her permission to engage in specific commercial transactions. In addition, a minor who is above the age of 7 years old may engage in commercial transactions subject to their guardian’s approval.
3.1Before accessing or using the Game Services, including the game clients through their respective portals or accessing a game, you must agree to these Terms of Service. You may also be required to register an account on the Ludo Talent (an “Account”). If you are between the ages of 13 and 18, you represent that your legal guardian has reviewed and agreed to these Terms.
3.2You further acknowledge and agree that when you choose a user name you must abide by the following guidelines as well as the rules of common decency. If SPRING finds such a label to be offensive or improper, it may, in its sole and absolute discretion, change the name, remove the label and corresponding chat room, and/or suspend or terminate your use of the Services. In particular, you may not use any name:
3.1.1That belonging to another person with the intent to impersonate that person, including without limitation a “Liaison” or any other employee or agent of SPRING;
3.1.2That incorporates vulgar language or which are otherwise offensive, defamatory, obscene, hateful, or racially, ethnically or otherwise objectionable;
3.1.3Subject to the rights of any other person or entity without written authorization from that person or entity;
3.1.4That belongs to a popular culture figure, celebrity, or media personality;
3.1.5That is, contains, or is substantially similar to a trademark or service mark, whether registered or not;
3.1.6Belonging to any religious figure or deity;
3.1.7Taken from SPRING’s other products;
3.1.8Related to drugs, sex, alcohol, or criminal activity.
3.3This website and/or Game Services may contain links to other websites that are owned or operated by third parties (referred to in our Terms of Service as “Linked Sites”). When you click on any link for a Linked Site and/or visit a Linked Site’s website, you should be aware that you are leaving a Ludo Talent Website, and this Policy does not apply to any such Linked Sites. We do not control and are not responsible for the terms of service, privacy policies and/or practices of any l Linked Site or any third party platform you may use to access the websites and/or services, and you should review the policies and agreements of such Linked Site and/or third party platforms carefully.
3.4You further acknowledge and agree that you may not be able to recharge for your game Account or make purchase when using a guest account. Once you uninstall/re-install Ludo Talent or replace your terminal device such as mobile phone or computer, or your terminal device is damaged, all the game data generated during your use of a guest account may be deleted and cannot be queried or recovered. You shall be responsible for all your losses arising from these circumstances.
3.5You fully understand and agree that, according to the relevant government requirements, SPRING may use your real-name registration information (including relevant real-name authentication status, age information etc.) in the anti-addiction system. In other words, SPRING may use the real-name registration information you have provided to verify whether you are under the age of 13, whether your identity information meets the relevant requirements, whether you have passed the real-name authentication and other issues, and then SPRING can determine whether to impose the anti-addiction restrictions on your game Account.
3.6SPRING does not grant you the right to obtain game Accounts, game items, game equipment, game currency, and other Game Services from any third-party by purchasing, accepting gifts or other ways. SPRING will not be responsible for any Third-party Transaction (Third-party Transaction refers to your behaviors to purchase, accept gifts or by other ways to obtain game Accounts, game items, game equipment, game currency, and any other Game Services from a third-party), and will not accept any complaint arising from the disputes of third-party transactions.
3.7You are responsible for anything that happens through your Account. SPRING reserves the right to remove or reclaim any usernames at any time and for any reason, including but not limited to claims by a third party that a username violates the third party’s rights.
4.1The following restrictions apply to the use of the Services:
4.1.1You shall not create an Account or access the Services if you are under the age of 13;
4.1.2You shall monitor your Account to restrict use by minors, and you will deny access to children under the age of 13. You accept full responsibility for any unauthorized use of the Services by minors. You are responsible for any use of your credit card or other payment instrument (e.g. PayPal) by minors;
4.1.3You shall not have more than one Account at any given time, and shall not create an account using a false identity or information, or on behalf of someone other than yourself;
4.1.4You shall not create an Account or use the Services if you are a convicted sex offender;
4.1.5You shall not have an Account or use the Services if SPRING and/or Ludo Talent has previously banned you;
4.1.6You shall use your Account only for non-commercial purposes;
4.1.7You shall not use your Account to advertise, or solicit, or transmit any commercial advertisements, including chain letters, junk e-mail or repetitive messages (email or message spam) to anyone;
4.1.8You shall not use your Account to engage in any illegal conduct;
4.1.9You shall not rent, lease, sell, trade, gift, bequeath or otherwise transfer your Account or any virtual features associated with your Account to anyone at any time; and
4.1.10You shall not access or use an Account that has been rented, leased, sold, traded, gifted, bequeathed, or otherwise transferred from the Account creator.
4.2You fully understand and agree that, SPRING is entitled to verify the authenticity and validity of the information provided by the user during registration, and actively take reasonable technical and administrative measures to guarantee the safety and validity of the user’s account. The user is obligated to take care of his/her account and password, and to use the account and password in a safe manner. If any party fails to perform any of the above obligations and thus results in the loss or theft of account and password, the party should be legally responsible for any damage caused to the civil rights of the user or other third party.
4.3You fully understand and agree that, SPRING is entitled to reasonably judge the user’s violation of relevant laws and regulations or the provisions of this Agreement, take appropriate legal actions against any user who violates laws and regulations, and store and report the relevant information to the relevant departments in accordance with the laws and regulations and so forth. The user shall be solely responsible for all the legal consequences arising therefrom.
4.4You fully understand and agree that, you shall be solely responsible for any claims, demands or losses claimed by any third party resulting from your violation of the provisions of this Agreement or other related terms of service; and you shall indemnify SPRING for any loss arising therefrom, if any.
4.5You fully understand and agree that, all game equipment, game currency, and other game items are part of Game Services, and SPRING hereby grants you the right to use them under this Agreement. Your purchase and use of the game equipment, game currency and other game items shall comply with the requirements of this Agreement and the specific rules concerning the game. Also, these game equipment, game currency and other game items may be expired subject to a certain valid period even if you have never used them within the valid period. Except for Force Majeure (defined in Clause 13.11) or other reasons attributable to SPRING, they will automatically expire upon the end of valid period.
4.6You fully understand and agree that to provide better Game Services to users, SPRING is entitled to make adjustments, updates or optimization to relevant content of the game (including but not limited to the art design, performance and related numerical settings of the game characters, game equipment and other game items).
4.7You fully understand that, there are objectively existing incompatibilities in different operating systems, and such objectively existing incompatibilities cannot be attributed to SPRING, thus your recharging fees and game data in one operating system may not be smoothly transferred to another. You, rather than SPRING shall be responsible for the loss of your recharging fee or game data caused by your switch of different operating systems.
4.8If the operation of Ludo Talent is terminated upon SPRING’s own discretion or for any other reasons, SPRING will handle the termination of the game operation in accordance with the relevant laws and regulations issued by the country regarding termination of online games, so as to protect the legitimate rights and interests of the users.
5.1You agree and authorize SPRING to collect your user information, including but not limited to your real-name registration information, game data of your game Account, and other information you have provided during the use of Game Services and the information collected by SPRING/Ludo Talent for the sake of information security and user experience optimization, and so forth. SPRING/Ludo Talent will collect your user information pursuant to this Agreement and relevant laws and regulations, for the purposes of performing this Agreement, for more details of which please see SPRING Privacy Policy.
5.2Protecting user information and privacy is a basic principle of SPRING. Unless otherwise provided in this Agreement, the collection, use and protection of user information in Game Services shall comply with Privacy Policy and other agreements. Except as otherwise provided by law, if you have agreed or authorized SPRING to collect, use or process your personal information in accordance with the foregoing Agreement or regulations, SPRING's collection, use or processing of related personal information under your consent before your withdrawal of such consent will continue to be valid if you withdraw the consent or authorization.
5.3You fully understand and agree that, based on your user information, SPRING or third parties in cooperation with SPRING may provide you with various information about Ludo Talent’s activities, promotion information and other information through messages, phone calls, emails and other means.
You can ask us or third parties to stop sending you marketing messages at any time by logging into the website and checking or unchecking relevant boxes to adjust your marketing preferences or by following the opt-out links on any marketing message sent to you or by contacting us at any time. If any conflicts of understanding this Agreement occur, details described in SPRING Privacy Policy shall prevail.5.4You understand and agree that, if competent national authorities require SPRING to assist in investigating your game Account (including real-name identity information) and game- related data (such as recharge, consumption and transaction data) in accordance with laws, SPRING may provide the aforementioned relevant information to the competent national authorities.
5.5You shall fully respect the personal information of others, including but not limited to, the personal information of other users that you obtain, receive or have access to through Ludo Talent and related services. You should not collect, copy, store, propagate, or in any other way use other users’ personal information, otherwise you will be responsible for any consequences arising therefrom.
5.6Ludo Talent may encounter game software bugs, version update flaws, third-party virus attacks, or any other factors, which may lead to the data abnormality of game characters, game items, game equipment, and game currency of your game Account data or game data. SPRING is entitled to temporarily freeze the game Account before the cause of the abnormality is identified. If the game data abnormality is identified to be caused by abnormal game behavior, SPRING is entitled to restore the game data of the game Account to the original status before the abnormality occurs (including requesting a transfer back of the game data from a third party), under which circumstance SPRING will not be responsible for any consequences arising therefrom.
6.1Subject to your agreement and continuing compliance with these Terms of Service and any other relevant policies, such as in-game code of conduct, SPRING grants you a non-exclusive, non-transferable, revocable limited license to use the Game Services solely for the purpose of viewing and using the applicable Services, and for no other purpose, including:
6.1.1receiving, downloading, installing, starting, upgrading, logging in, displaying, running and/or screenshotting of Ludo Talent;
6.1.2creating a game character, setting online name, viewing game rules, user profiles and game battle results, creating a game room, setting game parameters, purchasing or using game items, game equipment, game currency and so forth in Ludo Talent, and using chatting function as well as social sharing function; and
6.1.3using one or several other functions supported and granted by Ludo Talent.
6.2During your use of Game Services, you shall not record, broadcast or share with others the content of Ludo Talent in any way without the permission of SPRING, including but not limited to web-casting and broadcasting Ludo Talent through any third-party software.
6.3All other rights that are not expressly authorized in this clause or other clauses of this Agreement will be reserved by SPRING. You must obtain SPRING’s separate written approval before exercising these rights.
7.1The provision of Game Services by SPRING is a commercial activity, for which the user is entitled, at his/her own discretion, to decide whether or not to pay associated fees to obtain the corresponding Game Services, according to the list of charging item unilaterally issued by SPRING (including but not limited to purchasing the right to use virtual items in the game as well as receiving other value-added services and so forth) and SPRING’s corresponding charging rates. You are unable to enjoy certain Game Services if you fail to pay the fees according to the relevant charging rates.
7.2You acknowledge and agree that changes or adjustments to the charging items or charging rates are normal business activities and you shall not request SPRING to indemnify or compensate you for any change or adjustment to the charging items or charging rates.
7.3You acknowledge and agree that, if you use legal tender to recharge and make purchase in the game or to exchange for game virtual currency, virtual props and other virtual items or value-added services, you are deemed to have purchased the Game Services, and the game virtual currency, virtual props and other virtual items or value-added services you purchased or exchanged will be non-refundable and will not be exchanged into legal tender again, unless otherwise prescribed by mandatory provisions in law.
8.1Your use of this Site and Game Services is strictly subject to your compliance with SPRING’s Code of Conduct (“Code of Conduct”), which is available for your review here. While the Code of Conduct describes certain actions SPRING may take against your account for failure to comply with the Code of Conduct, such descriptions are not exclusive or exhaustive, and are intended primarily for informational purposes. Please be aware that your failure to abide by the Code of Conduct at all times shall constitute a violation of this Agreement, and may terminate your license to access or use the Game Services.
8.2You fully understand and agree that, you shall be responsible for all actions of your game Account, including any content you post and the consequences arising therefrom.
8.3You acknowledge that the time that you spend on the Ludo Talent and Game Services is solely for your personal entertainment purposes, and that no monetary value can be attributed to such time. In particular, but without limitation, you understand that value cannot and shall not be attributed to the time that you may spend accumulating in-game enhancements such as game items, points, medals or other digital and/or virtual features.
8.4Aside from using Game Services pursuant to this Agreement, you shall not engage in any activity that infringes the intellectual property of Ludo Talent or engage in any activity that is harmful to the legitimate interests of SPRING or other third parties.
8.5You shall comply with the laws and regulations during the use of Ludo Talent or Game Services. You shall not use Ludo Talent or Game Services to engage in any illegal conducts, including but not limited to the followings:
8.5.1opposing the fundamental principles determined by your local laws;
8.5.2jeopardizing the unity, sovereignty and territorial integrity of any state;
8.5.3inciting hatred or discrimination among ethnic groups, undermining the solidarity among ethnic groups, or disrespecting ethnic customs and practices;
8.5.4advocating obscenity, pornography, gambling, violence, or abetting the commission of a crime;
8.5.5insulting or defaming others or infringing any legitimate rights of others;
8.5.6containing any other content prohibited by any law, administrative rule or national regulation.
8.6Unless permitted by any laws or written consent of SPRING, you shall not engage in any of the following conducts:
8.6.1deleting the copyright information on the game software or its copies;
8.6.2reverse engineering, reverse assembling, reverse compiling of the game software, or any other attempts to obtain the software source code and other confidential contents, including but not limited to the game elements that are not yet voluntarily published by SPRING as a public presentation, but have already been sealed in the game installation package;
8.6.3scanning, exploring and testing the game software to detect, discover and identify the possible bug or vulnerability therein;
8.6.4copying, modifying, adding, deleting, mount-running or creating any derivative work from the game software or the data released to the RAM of any terminal device during the running of the software, or the interactive data between the client terminal and the server terminal during the running of the software, or the system data necessary for the running of the software, in such ways including but not limited to using plug-in, cheating tool or unauthorized third-party tool/service to access the software and related systems;
8.6.5modifying or forging any instructions and data during the running of the software, adding, deleting or changing the function or operation result of the software, or operating and propagating relevant software or method which can used to achieve the above-mentioned function, no matter whether or not the above actions are conducted for commercial purpose;
8.6.6using Ludo Talent and Game Services through third-party software, plug-in, cheating tool or system that is not developed nor authorized by SPRING, or creating, publishing and propagating third-party software, plug-in, cheating tool and system that is not developed nor authorized by SPRING;
8.6.7using, leasing, lending, copying, modifying, linking, forwarding, assembling, publishing, issuing or establishing mirror site of the content in the game which SPRING owns intellectual property rights;
8.6.8establishing mirror site related to Ludo Talent, or taking snapshot of relevant web page (web site), or providing service identical or similar to Game Services by establishing server or alike;
8.6.9isolating any part of Ludo Talent from its main body for separate use, or using Ludo Talent in other ways which breaches the provisions of this Agreement;
8.6.10using, modifying or covering the name, trademark and other intellectual property of Ludo Talent;
8.6.11any other conducts without SPRING’s express authorization.
9.1All the intellectual property rights of Ludo Talent, including All copyrights, trademarks, patents, trade secrets and other intellectual properties, along with other legitimate rights and interests of Ludo Talent (including but not limited to the overall Ludo Talent and all art, music, text, and other game elements and components included in Ludo Talent, and the continuous dynamic pictures presented when running Ludo Talent), as well as all information and contents related to Ludo Talent (including texts, images, audios, videos, graphics, interface designs, layout frameworks, related data or electronic documents, and so forth) are owned by SPRING or its licensors, and no ownership of any of the foregoing items is transferred to you by virtue of this Agreement or SPRING's permitting you to use the Site and/or Ludo Talent. Without prior written consent from SPRING, you shall not use Ludo Talent (including but not limited to the overall Ludo Talent and all art, music, text, and other game elements and components included in Ludo Talent, and the continuous dynamic pictures presented when running Ludo Talent) in any way for commercial purpose or disseminate the content of Ludo Talent through information network.
9.2The Account is the identification that SPRING authorizes you to log in and use Ludo Talent and Game Services, and its ownership belongs to SPRING. You have only the right to use the game Account in accordance with this Agreement, Privacy Policy and other relevant account usage agreement and special rules issued by SPRING for it. You shall not provide your game Account to anyone else for use in any manner, including but not limited to assigning, leasing and lending your game Account to anyone else for commercial use, including but not limited to live broadcasting, videotaping, surrogate training/gaming and other commercial use. Otherwise, you shall be responsible for any legal consequences and liabilities caused by your action, and SPRING will be entitled to take punitive measures against your game Account, including but not limited to issuing warning, restricting or prohibiting the use of all or part of your game Account function, deleting game Account along with game data and other related information, banning or canceling of game Account, and you will be responsible for all the losses caused thereby.
9.3You may need to download and install relevant software to use Game Services, and you can obtain the software directly from SPRING’s related websites or from third parties authorized by SPRING. If you obtain Ludo Talent or a game with the same name as SPRING’s game from a third party not authorized by SPRING, you will be deemed to have not obtained license from SPRING, and SPRING will not guarantee the normal use of the game, nor compensate you for any damage caused thereby.
9.4In order to provide more high-quality and safe service, SPRING may recommend you to install other software during the game software installation process, you can choose to install them or not.
9.5If you no longer need to use the software or to install a new version, you can uninstall on your own. If you are willing to help SPRING to improve its product and service, please inform SPRING of your uninstallation reason.
9.6In order to ensure the security and functional consistency of Game Services, SPRING is entitled to update the software and to change or limit certain functional effects of the software.
9.7After a new version of software is released, the older versions may become unusable. SPRING cannot guarantee the continuous usability and the relevant client services of the older version software, please check and download the latest version regularly.
11.1YOU ACKNOWLEDGE AND AGREE THAT, TO THE FULLEST EXTENT PERMITTED BY ANY APPLICABLE LAW, THE DISCLAIMERS OF LIABILITY CONTAINED HEREIN APPLY TO ANY AND ALL DAMAGES OR INJURY WHATSOEVER CAUSED BY OR RELATED TO USE OF, OR INABILITY TO USE, THE SERVICES UNDER ANY CAUSE OR ACTION WHATSOEVER OF ANY JURISDICTION, INCLUDING, WITHOUT LIMITATION, ACTIONS FOR BREACH OF WARRANTY, BREACH OF CONTRACT OR TORT (INCLUDING NEGLIGENCE) AND THAT PARTIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES IN ANY WAY WHATSOEVER ARISING OUT OF THE USE OF, OR INABILITY TO USE, THE SERVICE.
11.2YOU AGREE TO DEFEND AND INDEMNIFY SPRING, ITS PARENT, SUBSIDIARIES, LICENSORS AND AFFILIATES AGAINST AND FROM ANY THIRD PARTY CLAIMS, LIABILITIES, LOSSES, INJURIES, DAMAGES, COSTS OR EXPENSES INCURRED BY SPRING ARISING OUT OF OR FROM YOUR USE OF THE GAME SERVICES.
11.3UNDER NO CIRCUMSTANCES WILL SPRING BE LIABLE TO YOU FOR MORE THAN THE AMOUNT YOU HAVE PAID SPRING IN THE ONE HUNDRED AND EIGHTY DAYS (180) DAYS IMMEDIATELY PRECEDING THE DATE ON WHICH YOU FIRST ASSERT ANY SUCH CLAIM. YOU ACKNOWLEDGE AND AGREE THAT IF YOU HAVE NOT PAID SPRING ANY AMOUNTS IN THE ONE HUNDRED AND EIGHTY DAYS (180) DAYS IMMEDIATELY PRECEDING THE DATE ON WHICH YOU FIRST ASSERT ANY SUCH CLAIM, YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY DISPUTE WITH SPRING IS TO STOP USING THE GAME SERVICES.
11.4SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN TYPES OF DAMAGES. THEREFORE, SOME OF THE ABOVE LIMITATIONS IN THE SECTION MAY NOT APPLY TO YOU.
12.1During your use of Game Services, you shall abide by local laws and regulations and respect local ethics and customs. If your conduct is in violation of local laws, regulations or moral customs, you shall be solely responsible for the consequences arising therefrom.
12.2You should avoid getting SPRING involved in political and public incidents for your use of Game Services. Otherwise, SPRING is entitled to suspend or terminate the provision of services to you.
12.3This Agreement is governed by and construed in accordance with the laws of the Republic of Singapore, without giving effect to its principles of conflicts of law. The provisions of the U.N. Conventions on Contracts for the International Sale of Goods shall not apply.
12.4If a dispute arises between you and SPRING, our goal is to provide you with a neutral and cost effective means of resolving the dispute quickly. Accordingly, you and SPRING agree that we will resolve any claim or controversy at law or equity that arises out of this Agreement or our services (a "Claim") in accordance with one of the subsections below or as you and we otherwise agree in writing. Before resorting to these alternatives, we strongly encourage you to first contact us (bigo-ludo@bigo.sg) directly to seek a resolution by going to Customer Support. We will consider reasonable requests to resolve the dispute through alternative dispute resolution procedures, such as mediation or arbitration, as alternatives to litigation.
13.1No failure or forbearance on SPRING’s part to exercise its rights or insist upon performance of your obligations hereunder is to be construed as a waiver or relinquishment of those or any other rights or obligations in that or any other instance; rather, the same shall remain in full force and effect.
13.2SPRING may assign or delegate these Terms of Service and/or the Privacy Policy, in whole or in part, to any person or entity at any time with or without your consent. You may not assign or delegate any rights or obligations under the Terms of Service or Privacy Policy without SPRING’s prior written consent, and any unauthorized assignment and delegation by you is ineffective.
13.3If any provision of this Agreement is deemed unlawful, void, or for any reason unenforceable, such provision shall be narrowed in scope or otherwise amended to the extent necessary to make such provision lawful, valid and enforceable while as nearly as possible reflecting the intent of the parties as expressed in this Agreement, or, if such amendment is impossible, severed from this Agreement. No amendment or severing of any provision of this Agreement shall affect the validity or enforceability of any remaining provisions.
13.4SPRING may publish additional policies related to specific services such as forums, contests or loyalty programs. Your right to use such services is subject to those specific policies and these Terms of Service.
13.5This Agreement constitutes the entire agreement between you and SPRING relating to the subject matter hereof. SPRING may, from time to time, change, modify or update this Agreement, and the revised Agreement will apply prospectively. For easier reference, SPRING will change the “Last updated” date above.
13.6The Terms of Service, any Supplemental Policies and any documents expressly incorporated by reference herein (including the Privacy Policy), contain the entire understanding of you and SPRING, and supersede all prior understandings of the parties hereto relating to the subject matter hereof, whether electronic, oral or written, or whether established by custom, practice, policy or precedent, between you and us with respect to the Services.
13.7The failure of SPRING to require or enforce strict performance by you of any provision of these Terms of Service or the Privacy Policy or failure to exercise any right under them shall not be construed as a waiver or relinquishment of SPRING's right to assert or rely upon any such provision or right in that or any other instance.
13.8Except as expressly and specifically set forth in these Terms of Service, no representations, statements, consents, waivers, or other acts or omissions by SPRING shall be deemed a modification of these Terms of Service nor legally binding, unless documented in physical writing, hand signed by You and a duly appointed officer of SPRING.
13.9We may notify you via postings on websites of the Ludo Talent or via e-mail or any other communications means to contact information you provide to us. All notices given by you or required from you under these Terms of Service or the SPRING Privacy Policy shall be in writing and addressed to:

You may terminate this Agreement by terminating the Account and not accessing the Ludo Talent. In the event that you terminate or breach this Agreement, you will forfeit your right to any and all payments you may have made. You agree and acknowledge that you are not entitled to any refund for any amounts, which were pre-paid on behalf of the Account prior to any termination of this Agreement. SPRING may terminate this Agreement with or without notice by terminating your Account.
13.11Force Majeure in this Term of Service and other related SPRING’s policies means unforeseen circumstances or cause beyond SPRING’s control such as acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor or materials.
